Introduction

These Privacy Policy and Terms of Service (collectively, the “Terms”) govern your access to and use of the website, services, products, and online platforms (the “Services”) provided by Cornerstone Registered Agents LLC (“Cornerstone,” “Company,” “we,” “us,” or “our”). By accessing or using our website or Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree with any portion of these Terms, you should not access our website or use our Services.

Our Role & Legal Obligations

Cornerstone Registered Agents LLC operates in compliance with all applicable federal and state laws, including the Texas Business Organizations Code. Our responsibilities as a registered agent are limited to those duties required by law, including the receipt of service of process and official state correspondence on behalf of our clients.

We are not a law firm, do not provide legal advice, and no attorney-client relationship is created through the use of our Services.

Accuracy of Client Information

To provide Services accurately and lawfully, we rely on the information you provide. You agree that all information submitted to Cornerstone is accurate, complete, and current. You are solely responsible for updating your information promptly if changes occur.

Failure to maintain accurate information may result in service interruption or termination.

We do not sell your personal information. Any non-public information is handled confidentially and in accordance with this Privacy Policy.

Acceptance of Legal Documents

As your registered agent, you authorize Cornerstone to receive service of process, official government correspondence, and other legal notices on your behalf (“Legal Documents”). We may open, scan, upload, and electronically transmit such documents through your secure client portal.

Registered agent services are limited strictly to Legal Documents and do not include general business mail unless explicitly purchased as an additional service.

Regular (Non-Legal) Documents

Documents not classified as Legal Documents are considered “Regular Documents.” Depending on your selected service plan, limits may apply. Additional fees may be assessed for excess documents or physical mail forwarding requests.

Cornerstone is not responsible for missed deadlines or time-sensitive matters contained in Regular Documents.

Document Retention & Destruction

Physical documents are scanned and securely uploaded to your client account. Original documents are destroyed thirty (30) days after scanning unless otherwise requested in writing. Forwarding of original documents is at the client’s expense.

Electronic Records & Signatures

You consent to the use of electronic records and electronic signatures in connection with our Services. When required, you agree to provide a valid signature to facilitate filings on your behalf.

Packages & Deliveries

Cornerstone does not accept packages on behalf of clients. Any packages received may be refused, returned, or disposed of at our discretion. We are not liable for loss, damage, or storage of packages.

Client Portal & Document Storage

We provide optional document storage through our secure online client portal. You are responsible for ensuring that any content you upload is lawful and that you possess the necessary rights to such content.

By uploading documents, you grant Cornerstone a limited, non-exclusive license to store and process your content solely for the purpose of providing Services.

Termination of Services

Termination by Cornerstone

We may terminate Services for reasons including, but not limited to:

  • Failure to provide accurate information

  • Non-payment

  • Inability to contact you

  • Suspected unlawful activity

Termination by Client

You may cancel Services through your client portal. Upon termination, Cornerstone is released from all obligations to receive or forward documents on your behalf.

No refunds are issued for registered agent services once activated.

Corporate Transparency Act (CTA)

When applicable, Cornerstone may facilitate filings related to Beneficial Ownership Information (BOI). Any sensitive data submitted for BOI reporting is encrypted, stored securely, and retained only as long as legally required.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, CORNERSTONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORNERSTONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Payments, Auto-Renewals & Billing

Certain Services may be billed on an automatic renewal basis. By enrolling, you authorize Cornerstone or its payment processors to charge the payment method on file.

Failure of payment may result in suspension or termination of Services. You are responsible for maintaining valid payment information.

Acceptable Use

You agree not to misuse our Services, interfere with operations, access unauthorized accounts, upload unlawful material, or violate any applicable laws.

Cornerstone reserves the right to cooperate with law enforcement if unlawful activity is suspected.

Intellectual Property

All website content, branding, trademarks, and proprietary systems are the exclusive property of Cornerstone Registered Agents LLC. No rights are granted except as expressly stated.

Indemnification

You agree to indemnify and hold harmless Cornerstone, its officers, employees, and affiliates from any claims arising out of your use of the Services, violation of these Terms, or failure to comply with applicable laws.

Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration or appropriate courts, as permitted by law. You waive the right to participate in class actions.

Modifications

We may update these Terms at any time. Continued use of our Services constitutes acceptance of the revised Terms.
